2. Scope and acceptance

2.1 These Terms of Use ("Terms") govern your access to and use of the website at vediram.com (the "Website") and any related content, materials, and information provided therein. By accessing or using the Website, you acknowledge that you have read, understood, and agree to be bound by these Terms.

2.2 Separate agreements govern the use of our enterprise software products and services, including the Master Subscription Agreement, Service Level Agreement, and Data Processing Agreement (collectively, "Service Agreements"). In the event of conflict between these Terms and any Service Agreement, the Service Agreement prevails with respect to the use of the Service.

2.3 We reserve the right to amend these Terms at any time. The current version will be posted on this page with an updated "Last updated" date. Continued use of the Website after publication of amended Terms constitutes acceptance of those amendments.

3. Description of the Service

3.1 Vediram provides enterprise software products and services for legacy system governance and modernization ("Service"). The Service includes desktop applications, cloud platforms, and related tools that help organizations govern, bridge, and modernize their legacy systems and processes.

3.2 Vediram is an independent software vendor. The Service is not affiliated with, sponsored by, or endorsed by Microsoft Corporation or Anthropic, PBC. Microsoft 365, Microsoft Azure, Claude, and related trademarks are the property of their respective owners. These companies do not provide support for the Service and are not responsible for its operation, availability, or data handling practices.

3.3 The Website provides general information about Vediram and the Service. The content on the Website does not constitute a binding offer but rather an invitation to treat.

4. Intellectual property

4.1 All content on the Website — including text, graphics, logos, images, software, and the underlying code — is the property of Vediram GmbH or its licensors and is protected by Swiss and international copyright law (Swiss Federal Act on Copyright, URG, SR 231.1).

4.2 No part of the Website may be reproduced, distributed, modified, displayed, or used for any commercial purpose without our prior written consent, except as expressly permitted by mandatory provisions of applicable law (including the right to private use under URG Art. 19).

5. Data protection

The processing of personal data in connection with the Website and the Service is governed by our Privacy Policy. By using the Website, you acknowledge that you have read and understood the Privacy Policy.

For enterprise customers, the processing of personal data within the Service is additionally governed by the Data Processing Agreement forming part of the Service Agreements.

6. Use of the Website

6.1 You may use the Website for lawful purposes only and in accordance with these Terms.

6.2 You agree not to:

Use the Website in any way that violates any applicable Swiss, EU, or other law or regulation.
Attempt to gain unauthorized access to any part of the Website, its servers, or any connected systems.
Introduce viruses, trojans, worms, or other malicious code.
Use automated systems (bots, scrapers, crawlers) to access the Website beyond what is permitted by our robots.txt file.
Interfere with or disrupt the integrity or performance of the Website.

6.3 We reserve the right to restrict or terminate access to the Website at our sole discretion if we reasonably believe that a user has violated these Terms.

7. Disclaimer of warranties

7.1 The Website and its content are provided "as is" and "as available" without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, accuracy, or non-infringement.

7.2 While we endeavor to keep the information on the Website accurate and current, we make no representation that the content is complete, accurate, or up-to-date. The content does not constitute professional, legal, or technical advice.

7.3 We do not warrant that the Website will be available without interruption or that it will be free from errors, viruses, or other harmful components.

7.4 The warranty provisions for the Service are set forth exclusively in the applicable Service Agreements and are not governed by these Terms.

8. Limitation of liability

8.1 To the maximum extent permitted by applicable law, Vediram GmbH, its directors, officers, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, business opportunities, or goodwill, arising out of or in connection with your use of or inability to use the Website, regardless of the legal theory (contract, tort, or otherwise) and even if Vediram has been advised of the possibility of such damages.

8.2 To the maximum extent permitted by applicable law, Vediram's total aggregate liability arising out of or in connection with your use of the Website shall not exceed CHF 1,000 (one thousand Swiss francs).

8.3 Nothing in these Terms excludes or limits Vediram's liability for:

Willful misconduct or gross negligence attributable to Vediram itself (Art. 100(1) OR);
Death or personal injury caused by Vediram's negligence;
Fraud or fraudulent misrepresentation.

8.4 Vediram's liability for acts or omissions of auxiliary persons engaged in connection with the Website is excluded to the extent permitted by Art. 101(2) OR.

9. Third-party links

The Website may contain links to third-party websites or services that are not owned or controlled by Vediram. We have no control over, and assume no responsibility for, the content, privacy policies, or practices of any third-party website. Accessing third-party links is at your own risk.

10. Confidentiality

Any information exchanged between you and Vediram through the Website — including through the contact form — that is identified as confidential or that would reasonably be understood as confidential by a prudent businessperson, shall be treated as confidential information. Neither party shall disclose the other's confidential information without prior written consent, except as required by applicable law or court order.

11. Export control and sanctions

You represent and warrant that you are not located in, or a national or resident of, any country subject to Swiss, EU, or US trade sanctions, and that you are not listed on any applicable restricted party list. You agree to comply with all applicable export control and sanctions laws in connection with your use of the Website.

12. Governing law and jurisdiction

12.1 These Terms are governed by and construed in accordance with the substantive laws of Switzerland, without regard to its conflict-of-law principles.

12.2 Any dispute arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the competent courts of Lausanne, Canton of Vaud, Switzerland, subject to any mandatory statutory provisions providing for a different venue.

13. Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall remain in full force and effect. The invalid provision shall be replaced by a valid provision that most closely achieves the economic and legal purpose of the invalid provision.

14. Entire agreement

These Terms, together with the Privacy Policy and any applicable Service Agreements, constitute the entire agreement between you and Vediram with respect to your use of the Website and supersede all prior agreements, representations, and understandings.

15. Language

These Terms are drafted in English. If these Terms are translated into any other language, the English version shall prevail in the event of any discrepancy.
